Providence St. Joseph Health is calling a Senior Paralegal (Corporate Governance/Transactional) to work remotely/in office within the Seattle, WA/Portland, OR area.

We are seeking a Senior Paralegal (Corporate Governance/Transactional) who will provide professional legal support to the Department of Legal Affairs (“DLA”) Corporate Governance and Transactional practice areas. This position will be responsible for the coordination, management and compliance of all corporate entities and support related corporate governance activities. This position will provide support for M&A activities and other strategic transactions.

The Paralegal (Corporate Governance / Transactional) will report to the Paralegal Manager, and work very closely with Lead Regional, Transactional and Corporate Counsel. This position may also support attorneys/other DLA staff throughout DLA’s offices and interact frequently with internal and external clients, third party vendors and business associates.

Shift: Monday to Friday, Day

In this position you will:

  • Assist with corporate filings (formations, qualifications, obtaining EINs, Certificate of Good Standing, UCC, foreign qualification process, revisions to corporate governing documents, obtaining fictitious business names, amendments, dissolutions, management changes, withdrawals, etc.)

  • Track and manage annual report filings and other compliance activities.

  • Maintenance of corporate information in PSJH’s entity management database (hCue).

  • Draft and prepare a wide range of documents, including resolutions, governance documentation, certifications, consents, reports, etc.

  • Maintain/update corporate organizational charts for Providence St. Joseph Health

  • Assisting attorneys in preparing documentation for a variety of corporate transactions, including mergers and acquisitions and financings. This may include preparing or drafting due diligence request lists, document data rooms, form agreements, and closing binders.

  • Collaborate with cross-functional teams to support financings, M&A and other strategic transactions, including providing support and project management for due diligence and corporate structures.

  • May administer to and oversee quarterly due diligence and draw down processes for debt refinancing.

  • Communicate regularly with attorneys and clients regarding the status of projects and deadlines and inform attorneys of any issues. Refine issues such that the attorney can focus her/his attention on providing legal advice and counsel to clients.

  • A power user of Legal Tracker/iManage, iManage Share, hCue and other contract and document management systems used by DLA. When requested, reviewing existing DLA documents/database to determine if preexisting analysis or other work product is available to address a current legal request.

  • Conduct light legal research as requested by internal and external customers.

  • Assist attorneys in tracking ongoing matters and prioritizing the same.

  • Request needed documentation and information from clients to ensure that the attorney has all necessary information/material prior to beginning their work/analysis/review.

  • Compose, edit and proofread a variety of correspondence, memos, presentations and materials and directly handle within the assigned scope of authority, knowledge and understanding of activity.

  • Communicate directly and through correspondence with high level internal and external customers.

  • Develop, prepare and/or assemble necessary materials for meetings and presentations related to department operations or legal matters.

  • May act as first line reviewer of legal invoices.

  • Maintain strictest confidentiality, trustworthiness and integrity at all times.

  • Special projects as assigned.

Qualifications:

Required qualifications for this position include:

  • Associate’s degree and a paralegal certificate from an ABA-approved paralegal program, or a certificate from a paralegal program at, or a degree from, an accredited secondary institution which requires at least 24 semester units in law-related courses

  • Equivalent experience may be substituted for education

  • At least five (5) years paralegal experience with a focus on corporate governance, entity management, and/or transaction support, or equivalent experience in a law practice setting.

Preferred qualifications for this position include:

  • Bachelor’s Degree

  • Experience with non-profit entities and taxable/tax-exempt bond financing.

  • General understanding/exposure to health care industry
